This role will support and advise Western Union subsidiaries boards and a range of stakeholders regarding corporate governance matters in the Company’s EMEA regions and maintain corporate subsidiaries in good standing and in compliance with their local filing obligations.

Will provide corporate governance support and leadership to various cross-functional projects such as financial statement audits, ensuring timely completion in accordance with relevant company law.

Collaboration and co-ordination will be required with a wide group of stakeholders throughout the organization to support the governance of regulated subsidiaries.

Ability to work independently and make both practical and timely decisions. The role requires strong drafting and minute taking skills, legal research skills and experience in supporting, or leading aspects of, restructuring projects.

Role Responsibilities

  • Will support board activities for the WU subsidiary boards (including regulated entities) to include preparing meeting notices, working with functions to gather board materials, drafting and updating board and committee charters, preparing and executing the agreed upon agenda, minute taking, tracking of action items, advising boards and a range of stakeholders on corporate governance matters and conducting legal research on governance requirements and developments across EMEA.

  • Working on policies and standard operating procedures for company secretarial processes.

  • Ensure complete of annual compliance obligations for subsidiaries, including supporting the accounting team and auditors with audit requests and general company information requests.

  • Working with service providers on ad hoc approvals and filings.

Role Requirements

  • Minimum 5 years company secretarial experience in an Accountancy Practice or Law Firm or in-house in a corporate secretarial role.

  • Experience in managing annual compliance for an international portfolio of companies is preferred

  • Excellent written and verbal communication skills with the ability to provide analytical and consultative direction. Ability to communicate effectively with all levels of management.

  • Company secretarial qualification is required.

  • Excel and Power Point proficiency.
